Baylor Scott & White Health and Memorial Hermann Health System announced Tuesday, Feb. 5, the two systems would not pursue the merger they announced in October 2018.
Baylor Scott & White and Memorial Hermann Health System are the two most comprehensive not-for-profit health systems in Texas.
On October 1, the Boards of BSW and Memorial Hermann Health signed a letter of intent to combine their two health systems in order to “further strengthen communities, advance the health of Texans and transform the delivery of healthcare.”
The two systems have spent the last few months in negotiations and talks.
Together, the two systems would have operated 68 hospitals, 1,100 care delivery sites, nearly 14,000 employed, independent and academic physicians and two health plans and served over 30 counties.
According to a joint statement released by the two organizations, after months of negotiations and discussions, the Baylor Scott & White and Memorial Hermann have decided to discontinue the merger conversations.
“Ultimately, we have concluded that as strong, successful organizations, we are capable of achieving our visions for the future without merging at this time,” the statement said. “We have a tremendous amount of respect for each other and remain committed to strengthening our communities, advancing the health of Texans and transforming the delivery of care. We will continue to seek opportunities for collaboration as two forward-thinking, mission-driven organizations.”
